Many commercial contracts contain non-solicitation provisions restricting one party’s ability to deal with or to solicit the other party’s customers or clients without that party’s express consent.
This Customer Solicitation Request Letter is designed for use in situations where such consent is sought. Two situations are envisaged (and catered for in optional paragraphs) – one in which the customer in question approaches the contracting party and the second in which the contracting party wishes to approach the customer.
Further options are included to either explain that the proposed dealings will not adversely affect the other party or to explain why, an adverse effect notwithstanding, the proposed dealings should be allowed to proceed.
Optional phrases / clauses are enclosed in square brackets. These should be read carefully and selected so as to be compatible with one another. Unused options should be removed from the document.
