Letter – Repudiating Contract & Informing of Legal Action

When a party to a contract breaches that contract the aggrieved party has a number of options ranging from a waiver of the breach to terminating the contract and taking legal action.

This Letter claiming Repudiation of a Contract and Informing of Legal Action sits at the top of the severity scale for responding to a breach. The breaching party is informed that, as a result of their breach(es) of the contract, the aggrieved party is treating the contract as terminated – that is that the breach or breaches were so severe that the breaching party has repudiated the contract. The aggrieved party also states their intention to seek legal advice as to remedies.

An optional provision enables this letter to be used as a follow-up from a softer breach notification requiring the breaching party to rectify their default and a further option within the same provision points out that at no point has the breaching party notified the aggrieved party of any event of force majeure.
