Sale of Goods Terms and Conditions (B2C)

BUS.TC.04

These Sale of Goods Terms and Conditions are designed for business-to-consumer (B2C) sales.

They are written in plain, consumer-friendly language and are intended to be understandable to an average customer without specialist business or legal knowledge.

Use these terms for everyday B2C sales of goods

This template is suitable for a wide range of goods and can be used for most everyday sale of goods transactions.

It can be used whether the seller manufactures the goods or resells them.

If you sell bespoke or made-to-order items, see Sale of Goods Terms and Conditions (Bespoke Goods) (B2C).

Information customers must receive for on-premises sales

This document reflects the pre-contract information requirements for on-premises contracts under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013.

It gives the customer a clear, concise summary of the information they are entitled to receive under the Regulations, helping the customer understand their rights and the seller understand their obligations.

If you sell to consumers at a distance (for example online or by telephone), consider using Distance Selling Terms and Conditions. If you conclude contracts with consumers in their home or workplace, see Doorstep Selling Terms and Conditions.

Consumer rights and fair dealing

Sellers should be aware of their legal obligations and the rights of their customers. These terms have been written with those laws in mind.

The terms are designed to be fair and easy for consumers to understand.

UK-only scope

This template is intended for use only where the seller and buyer are based in the UK and the goods are to be delivered in the UK. For any other case, you should take professional legal advice as to suitable terms of agreement.

What the terms cover

  • Contract formation, goods description, orders, and pricing
  • Delivery arrangements
  • Faulty, damaged, or incorrect goods
  • Returns where the customer changes their mind
  • Liability and events outside a party’s control (force majeure)
  • Communication, complaints and feedback
  • Data protection and other important terms (including ADR and governing law)

If you also supply services alongside goods (for example installation, set-up or maintenance), see Goods and Services Terms and Conditions.
