I am starting to sell goods or services and need written terms. Where do I start? +
Start by pinning down three things: whether you supply goods, services or both, whether your customer is a consumer or another business, and whether you sell in person or at a distance. Those answers decide which template fits. Simply-Docs splits its offline terms into service, sale of goods, combined goods and services, distance selling, doorstep selling, short form and sector specific sets. Does it matter whether my customer is a consumer or a business when I choose terms? +
Yes, it changes your obligations. Consumer contracts fall under the Consumer Rights Act 2015, which requires goods to be of satisfactory quality, fit for purpose and as described and services to be carried out with reasonable care and skill, and those rights cannot be excluded. Business to business deals run mainly under the Sale of Goods Act 1979 and the Supply of Goods and Services Act 1982, where you have far more freedom to set your own terms, subject to the reasonableness test in the Unfair Contract Terms Act 1977. What is the difference between terms for selling goods and terms for supplying services? +
The legal backbone differs. For goods, the core duties are that they are of satisfactory quality, fit for purpose and as described, under the Consumer Rights Act 2015 for consumers or the Sale of Goods Act 1979 for business buyers. For services, the core duty is to perform with reasonable care and skill, under the Consumer Rights Act 2015 or the Supply of Goods and Services Act 1982. Where you supply both together, Simply-Docs offers combined goods and services terms so a single document covers the lot rather than stitching two sets together.
I sell through my own website. Are these offline terms the right ones for me? +
No, online sellers need the separate Website Terms and Conditions range, not these offline sets. Selling through a website or app brings extra duties, including the identity and contact information required by the Electronic Commerce (EC Directive) Regulations 2002 and the cookie and privacy rules under the UK GDPR and PECR. These offline terms are for trade that is not concluded on a website. For online sales use the Website Terms range together with a website privacy policy and cookie policy.
Can I just copy another firm's terms and conditions? +
It is risky and often counterproductive. Another firm's terms are drafted for their goods, their customer type and their risk profile, so they may leave out protections you need or include ones a court would not enforce for you. Terms that try to strip out core consumer rights are not binding under the Consumer Rights Act 2015, and business exclusions only stand if they are reasonable under the Unfair Contract Terms Act 1977. A template built for your kind of trade, then tailored to your business, is a safer starting point than lifting someone else's.
