Certainty and clarity are important ingredients in any commercial transaction, and those relating to the sale of goods are no exception. A transaction will be a great deal more straightforward if nothing is left to the imagination on matters such as price, payment, delivery, and the general rights and obligations of the parties involved.
It is often the case that the only documentation in a transaction will be a quotation letter followed by an invoice (or sometimes a series of invoices). As such, this Short Form A4 Page Quotation Terms and Conditions for Goods has been designed for printing on the front and reverse of a single A4 sheet which can then be enclosed with a quotation letter. Although reduced in size, the terms and conditions still address all key aspects of a sale of goods transaction in detail.
This template has been designed exclusively for use in business to consumer transactions. A business to business version is also available in this subfolder.
This template is intended for use only where you and your customer are based in the UK and the goods are to be delivered in the UK. For any other case, you will need to take professional legal advice about the terms that you should use.
This document should be used only where your customer is a “consumer” as defined in the Consumer Rights Act 2015 (i.e. an individual who receives goods for his/her personal use and for purposes wholly or mainly outside the purposes of any business of that individual or another).
The document is suitable for use whether the contract is an “on premises”, “off premises” or “distance” contract as defined in the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013.
The Regulations require you to supply certain information to customers who are consumers before they accept the quotation and thereby become legally bound under a contract with you, and the terms and conditions refer to that requirement. Where the contract is an “off premises” or “distance” contract (but not an “on premises” contract), the Regulations also confer on the customer certain rights to cancel the contract, and we have outlined these in the document.
Optional phrases / clauses are enclosed in square brackets. These should be read carefully and selected so as to be compatible with one another. Unused options should be removed from the document.
