Trustees' Approval by Written Resolution: Unincorporated Charitable Association
The model Constitution for an Unincorporated Charitable Association, which you can see here, includes an optional provision as part of sub-Clause 21(14) which states that decisions of the trustees of the charity can be taken by means of a resolution in writing of all of the trustees.
This Trustees' Approval by Written Resolution: Unincorporated Charitable Association is particularly useful if a decision of the trustee board is required and the board has not got the time to call a meeting or trustees are unavailable to attend a board meeting.
This records the approval of the trustees to certain resolutions and to the charity’s entry into specific documents and to authorise the execution of those documents by named trustees.
If your charity is not in the form of the above model constitution, you will need to check that it provides for the trustees to be able to make decisions by means of a written resolution and that this template Trustees' Approval by Written Resolution: Unincorporated Charitable Association is suitably amended to refer to the relevant Clause numbers of the form of constitution used.
