This Register Of Secretaries of Charitable Company Limited By Guarantee has been created due to the requirements placed by the Companies Act 2006 on all companies including charities set up in the form of a charitable private company limited by guarantee.
This template register can be used to record details of all individuals who serve as the company secretary of such a charitable company.
The Companies Act 2006 requires such a company to enter the name and address of any individual who is its secretary. The definition of name is the same as for directors/trustees. In particular, the register must include any name used or in use for business purposes since the age of 16. The former names of peers do not need to be disclosed but this exception does not extend to the former names of married women.
The address to be registered is a service address rather than the secretary’s usual residential address. A service address means an address at which documents may be effectively served on the secretary. A charitable company’s secretary may give its registered office as his or her service address. The service address may also be the same as the secretary’s residential address but this will not be apparent from the public record.
The register must be kept available for inspection at the company’s registered office by anyone who wishes to see it. Refusal to permit inspection is an offence for which every company officer in default (including a shadow director/trustee) can be liable. In addition, the court may compel immediate inspection of the register if the company has refused.
