Trustees' Approval by Written Resolution: Charitable Company

The model charity articles of association for a charitable company limited by guarantee (which you can see here) state in article 10(2) that decisions of the directors of the company (who are also the charity trustees) can be taken by means of a unanimous resolution in writing of all of the directors (trustees).

This is particularly useful if a decision of the trustee board is required and the board has not got the time to call a meeting or trustees are unavailable to attend a board meeting.
