Trustees' Approval by Written Resolution: CIO

The model Constitutions for Charitable Incorporated Organisation (CIO) which you can see here include a Clause which states that decisions of the trustees of the charity can be taken by means of a resolution in writing of a majority of all of the trustees.

This is particularly useful if a decision of the trustee board is required and the board has not got the time to call a meeting or trustees are unavailable to attend a board meeting.

This Trustees' Approval by Written Resolution: CIO records the approval of the trustees to certain resolutions and to the charity’s entry into specific documents and to authorise the execution of those documents by named trustees.

This template refers to certain Clauses in the CIO’s constitution. The Clause numbers referred to assume that the CIO’s constitution is in the form of the template Constitution for a CIO whose only voting members are its trustees (‘Foundation’ model) which you can see here. However, if one of our other model CIO constitutions is used instead, the Clause references in this template should be amended as necessary to refer to the equivalent Clause in the model form that is used.
