Letter to Shareholders to Provide Full Names for Register of Members (s.113A CA 2006)

The Economic Crime & Corporate Transparency Act 2023 (ECCTA) received Royal Assent on 26 October 2023 and aims to increase corporate transparency and the usefulness of the information held about shareholders.

Why this letter may be needed

Before these changes, the Companies Act 2006 required companies to record the names of shareholders, but “names” was not defined. As a result, some registers of members recorded abbreviations or initials rather than a member’s full name.

The Companies Act 2006 (as amended by the ECCTA) now requires companies to record shareholders’ full names in the register of members, together with a service address (section 113A, Companies Act 2006).

What shareholders are required to provide

A shareholder’s full name means a forename and a surname (not initials or abbreviations).

New duties are also imposed on members to notify the required information (and any change to it) to the company (sections 113D and 113E, Companies Act 2006).

Failure to supply the information, or making a false statement in relation to it, will be a criminal offence.

What this template letter does

This letter is intended to be sent to shareholders to request that they either confirm their details are already correctly recorded or provide the company with the required information for the register of members.

An accompanying pro-forma reply letter should be sent with this letter so the shareholder can provide the requested information and return it to the company.
