Demand Letter to Shareholders Requiring Information for Register of Members (s.113 F CA 2006)

The Economic Crime & Corporate Transparency Act 2023 (ECCTA) received Royal Assent on 26 October 2023 and aims to increase corporate transparency and the usefulness of the information held about shareholders.

Why this notice may be needed

Because a key purpose of the register of members is to show company ownership, the Companies Act 2006 (as amended by the ECCTA) requires companies to record shareholders’ full names in the register of members, together with a service address (section 113A, Companies Act 2006).

Company power to require information from members

To enable the company to keep the register up to date, the company has power to require this information from members (section 113F, Companies Act 2006) and may give a notice to that effect.

A member will have one month from the date of the notice to comply. Failure to supply the information, or making a false statement in relation to it, will be a criminal offence.

What this template letter does

This template letter can be sent to shareholders to request the information required for the register of members.

An accompanying pro-forma reply letter should be sent with this letter so the shareholder can provide the requested information and return it to the company.
