Register of Members (and other Internal Company Registers)

The Companies Act 2006, as amended by the Economic Crime & Corporate Transparency Act 2023 (ECCTA), makes major changes to company registers.

❗ From 18 November 2025, companies are no longer required to keep their own registers of directors, directors’ residential addresses, secretaries or people with significant control. Since 26 January 2026, companies can no longer elect to keep their register of members on the central register at Companies House. They must keep their own register of members internally as a local register.

For the other former statutory registers, the record held at Companies House is now the definitive register. The underlying information still has to be provided to Companies House, and companies are now subject to enhanced reporting obligations to deliver information that would previously have been recorded in those registers.

The templates in this section are a collection of guidance notes, letters and internal registers to help you understand these changes and to collate the information required about your company’s members and officers. Except for the register of members (and, for a limited company with charges over its property created before 6 April 2013, its register of those charges), the other registers listed here are for internal use only.

When To Use These Templates

Use these templates when you are:

• Understanding how ECCTA changes the rules on statutory registers and central registers.
• Setting up or updating your company’s internal register of members.
• Collecting or updating member information (for example, full names) to comply with CA 2006 requirements.
• Keeping internal records of directors, secretaries, their residential addresses, charges and directors’ interests, alongside filings at Companies House.
• Preparing to file information at Companies House relating to charges or the location of company records.

i. Understand the new regime
Read the information above and the FAQs below to understand how CA 2006 and ECCTA affect your company’s registers.

ii. Set up or update the register of members
Choose the appropriate register template (basic, long form or limited by guarantee) and populate it with your current member details.

iii. Collect missing or updated information

• Ask members to confirm any missing or out-of-date details and check them against your share certificates, stock transfer forms and allotment records.

iv. Maintain other internal registers
If you choose to keep internal registers of directors, secretaries, residential addresses, charges or directors’ interests, keep them up to date so they mirror (and in some areas go beyond) what is filed at Companies House. A limited company with charges over its property created before 6 April 2013 must still keep a register of those charges (see the FAQs below).

v. Align internal records with Companies House filings
When you create or update entries in the internal registers, ensure the corresponding filings are made at Companies House using the appropriate forms listed in this section.
