Register Of Company Secretaries (Corporate)
This Register of Company Secretaries (Corporate) has been created due to the requirements placed on all companies by the Companies Act 2006. The Companies Act 2006 does not draw a distinction between corporate and individual company secretaries in terms of the register, referring simply to a “Register of Company Secretaries”. However, Simply-docs has created separate registers for individual and corporate company secretaries, owing to the different disclosures required of each.
The Companies Act 2006 retains the requirement for the corporate or firm name and the registered or principal office to be recorded where the company secretary is either a body corporate or a firm that is a legal person under the law by which it is governed. In addition, it requires for EEA companies details of where the company is registered and its registration number. For all others, it requires particulars of the legal form of the company or firm, the law by which it is governed, and, if applicable, where it is registered and its registration number.
If all the partners in a firm are joint secretaries, it is sufficient to give the particulars of the firm rather than the particulars of all the individual partners.
The register must be kept available for inspection at the company’s registered office by members (free of charge) or the public (for a prescribed fee). Refusal to permit inspection is an offence for which every company officer in default (including a shadow director) can be liable. In addition, the court may compel immediate inspection of the register if the company has refused.

If you are using Microsoft Office 2003 or older, the template can be unlocked by clicking on the “Padlock” icon on the tool bar. To display the “Padlock” icon click on “View” and then “Toolbars”. From the “Toolbars” menu, select “Forms”. Users of Microsoft Office 2007 must first click on the “Review” tab to reveal the “Protect Document” button. From the “Permissions” panel that opens, click on the “Stop Protection” button.
Once you have subscribed to the Corporate Document Folder click on the “Download Document” button below. You will be asked what you want to do with the file. It is recommended that you save the document to a location of your choice prior to viewing.
