These Terms and Conditions for Goods for Resale are intended for business-to-business transactions where the Seller supplies goods and services together, and the goods are to be sold on in their current state to third parties. They regulate how the goods and services are supplied while safeguarding the Seller’s contractual position.
This version has been updated to improve clarity and efficiency, including specific references to “business days”. It also includes additional optional provisions dealing with non-delivery and non-provision, updated references to voluntary arrangements (including IVAs and PVAs as well as CVAs) in connection with recovery of unpaid goods and buyer default, and a more comprehensive governing law and jurisdiction clause that also addresses matters outside the strict scope of the contract. A detailed confidentiality clause has also been added.
Retention of title for goods supplied for resale
Clause 10 addresses reservation of title until full payment is received. Depending on the optional wording selected, it can operate as either a full “all sums” clause or a simpler reservation of title clause.
When this template is not the best fit
Where a longer-term business relationship between the seller/provider and the buyer is anticipated, it may be better to use Supply of Goods Agreement - Resale or Supply of Goods Agreement - Manufacture (as appropriate), and/or a longer-form services contract from Standard Service Agreements Templates.
