Manned Guarding Security Service Agreement (Insured Sub-Contractors)

This Manned Guarding Security Service Agreement is designed for use by
individuals and business providing manned security services to a range of
clients. This document is suitable for use with security guarding services
including, but not necessarily limited to, building security and site
security.
This template provides a framework covering all of the essential legal
matters required for an agreement of this kind. The exact nature of the
services to be provided should be detailed in full in the schedule at the
end of the document.
A central provision in this agreement includes a detailed set of
formalities governing the provision of the services. These formalities
include the all-important requirement that security guards be licenced by
the Security Industry Authority (“SIA”). Of particular importance under
this section is a provision requiring security guards to comply with
certain of the client’s company policies. It is important to note that
whilst many such policies will be both relevant and important to the
security guards (as they will, in effect, become representatives of the
client’s company and will be responsible for maintaining its image and
standards), there will be some policies which should not be included such
as holiday, sickness and absence, disciplinary procedures and similar
policies as they should be applicable only to the client’s employees.
Further key provisions govern matters such as insurance, liability, payment
and confidentiality.
This template can be used both by security service providers that employ
their security guards and those that use sub-contractors. It is important
to note that, under the terms of this document, the main contractor is
responsible for any actions or breaches of the sub-contractor as if they
were undertaken or committed by the main contractor itself.
The default position for insurance under this agreement is that it should
cover sub-contractors. An alternative version of this template is available
which requires sub-contractors to take out their own insurance. Such
insurance should provide the same level of cover as the insurance taken out
by the main contractor. Great care should be taken when selecting the
appropriate document and you should always ensure that you fully understand
the terms and conditions of your insurance.
For those using sub-contractors, a Security Sub-Contractor Agreement is
