IT Service Agreement

This IT Service Agreement is designed for use where a business outsources IT support services and wants a written contract setting out the parties’ respective rights and responsibilities.

It is suitable for a broad range of IT support arrangements and is structured so that transaction-specific details can be set out in schedules rather than crowded into the main body of the agreement.

References to data protection legislation in this document include the UK GDPR.

Designed for flexible IT support arrangements

The main agreement covers the core legal and commercial terms of the relationship, while the schedules deal with the practical details of the services, equipment, software, fees, and, where relevant, data processing.

That structure makes the template easier to adapt for different IT service models without changing the overall contractual framework.

What the agreement deals with

Key provisions address the service provider’s and client’s obligations, fees and payment, confidentiality, and termination.

The agreement also includes insurance, assignment and sub-contracting, dispute resolution, and optional data protection and data processing provisions where these are relevant to the arrangement.

Liability and sub-contracting

Liability under this agreement is limited, but balanced. This is an important point for the parties to negotiate before signing, and the default limitation provision may need to be adjusted to reflect the particular deal.

The service provider may sub-contract some or all of its obligations. Where sub-contractors are used, they should be engaged on terms that are compatible with the main agreement.
