Advertising Agency Services Agreement

This Advertising Agency Services Agreement is a comprehensive framework agreement for advertising agencies of any size and for a wide range of client projects, campaigns, and tasks.

It is designed for use where the client is not a consumer for the purposes of the Consumer Rights Act 2015. References to data protection legislation in this document include the UK GDPR.

Advertising agency framework agreement for ongoing client work

This template is intended to govern the overall relationship between an advertising agency and its client, with individual projects, campaigns, or tasks to be agreed separately from time to time during the term of the agreement.

It is therefore suited to ongoing agency-client relationships rather than a single standalone project.

Full-service agency terms for creative work, media buying, and related services

The agreement is suitable for agencies offering full services, including creative work, media buying, and other related services.

The Schedule includes a list of service types, which should be tailored to reflect the services the agency offers and the services the client requires in the particular case.

How projects and campaigns are agreed under the framework

This framework agreement does not itself set out the detail of individual projects, campaigns, or tasks.

Instead, each item of work is to be agreed separately by means of the agency’s written confirmation of the client’s request for particular services. There may be any number of such requests during the life of the framework agreement.

Each request should record not only the relevant project or task, but also the other details that need to be agreed for that work. It is also sensible for each confirmation to remind the client that the request is governed by the signed framework agreement.

What this advertising agency agreement covers

  • the agency’s appointment, services, status, and cooperation with the client;
  • approvals, changes to work in progress, remuneration, payment, VAT, and audit;
  • media space and time charges, discounts, rebates, suppliers, materials, and disbursements;
  • copyright, ownership and custody of material, confidentiality, warranties, indemnities, and limitation of liability;
  • advertising standards, levies, mailing lists, and customer databases; and
  • optional data protection and data processing provisions where relevant.

Data protection and optional data processing provisions

The agreement includes provisions dealing with personal data protection and processing.

Clause 31.2 and Schedule 2, together with its Annex, cover data protection and any data processing to be carried out. These provisions are optional, and alternative clauses within them can be selected as appropriate.

Schedules for services and data processing

  • The Services – the categories of services the agency may provide; and
  • Data Processing – data protection and data processing detail where included, together with the Annex to that schedule.
