Assignment and Sub-Contracting Clause

This Assignment and Sub-Contracting Clause sets out the rights of the parties to assign their rights under the agreement and to sub-contract or otherwise delegate their obligations. An optional provision in the clause enables the second party to the contract (such as a service provider) to sub-contract certain of their obligations. Options within that provision allow for references to specific clauses elsewhere in the agreement, the obligations under which cannot be sub-contracted or contain their own provisions regarding sub-contracting (such as a data processing clause).

This template clause has been reviewed and updated. It has been simplified and focused compared to its previous version and now deals only with assignment and sub-contracting. Other matters have been moved to the Miscellaneous Clause template. The assignment and sub-contracting provisions have also been re-drafted to align more closely with other documents from Simply-Docs.

This template clause can be used in the drafting of a new contract or to amend or improve an existing one.
