Confidentiality Clause


The Confidentiality Clause is one of a number of standard clauses that can be used to draft a new contract or to amend/improve an existing contract. A confidentiality clause imposes obligations of confidentiality on the parties regarding any information that meets with the definition of “Confidential Information” and limits the sharing of such information with third parties.

This clause template has been reviewed and updated for improved compatibility with other documents in the Simply-Docs portfolio. Changes to the drafting and structure of the clause also make it more flexible. A new definition has been included at the head of the document for insertion into the Definitions and Interpretation clause of another agreement.
