These E-Commerce Sale of Services Website Terms of Sale
are designed for use by traders on e-commerce websites selling services to
business customers. These terms are sufficiently broad to cover many
different kinds of services.
This document has been updated, removing an optional provision allowing the
seller to restrict the sale of services to UK customers only. This change
has been made to improve compatibility with the 2018 EU Geo-Blocking
Regulation, which takes effect on 3 December 2018.
It is important to note that this document remains intended for UK use.
Specific laws that may apply in other EU member states are not addressed
and it is important to ensure that you are fully aware of, and in
compliance with, such laws if you specifically direct your activities
toward any particular member state.
Using user-friendly language, these e-commerce terms of sale guide
customers through the order process, explaining the formation of the
contract between them and the retailer, also setting out details on
services, pricing and availability (with particular regard for the accuracy
of, and changes to such information), payment, and the provision of the
When dealing with the provision of the services, obligations are imposed on
both the service provider and the customer (the latter, for example, may be
required to take certain actions or provide certain information and the
service provider will not be held responsible for the customer’s failure to
do so). It is important to note that the services themselves are not
specified in these terms and conditions and that detailed information about
them should be provided elsewhere including in the order confirmation sent
to the customer as part of the order process.
This document is designed for business-to-business transactions. As such,
the customer is not given a “cooling off period” as a consumer would be. If
such cancellation rights are desired, the business-to-consumer version of
this document could be used for reference. A range of cancellation rights
are included for both the customer and the trader (again, please note that
reference is made to information that you must provide elsewhere, such as
minimum notice periods and refund eligibility – it is important to ensure
that this information is provided to the customer).
Further key provisions deal with liability, events beyond the service
provider’s control, customer complaints (with reference to complaints
handling policies and procedures, templates for which are also available
from Simply-Docs), contact information, and data protection.
