The Companies Act 2006 requires that all companies record proceedings of directors’ meetings and that they are retained for 10 years. Articles of association and shareholders’ agreements also often contain additional requirements as regards board meetings and recording directors’ decisions. Whilst board minutes are kept for internal records and it is not required to have a policy as regards the taking and keeping of board minutes, companies may wish to consider implementing such a policy that the board has approved.
These template board minutes may be used if a company has decided to implement such a policy. These board minutes introduce the policy and allow the company to sign it off after properly considering it and approving its implementation.
These board minutes should note the content of the policy and any specific requirements in the company’s articles of association or shareholders’ agreement that should be included within the policy.
