IN LIGHT OF THE ECONOMIC CRIME & CORPORATE TRANSPARENCY ACT 2023, THIS TEMPLATE IS CURRENTLY UNDER REVIEW. 

As of April 2016, section 1097A of the Companies Act 2006 (as inserted by the Small Business, Enterprise & Employment Act 2015) enables the registrar at Companies House to change an address which a company is not authorised to use, to an alternative. Previously a registered office could only be changed voluntarily by the company itself.

The legislation allows anyone to object to the registrar about a company or LLP’s use of an address as its registered office. Whilst there will be cases of fraud or the inaccurate use of an address that the legislation aims to tackle, there may also be cases where there has been a genuine misunderstanding regarding an entitlement to use a specific address as a registered office address.

This Letter Responding to an Objection enables the company the subject of such a misunderstanding, to notify Companies House, following receipt of a notice from them, of the misunderstanding and provide Companies House with the relevant proof of its entitlement to validly use the address as its registered office address.
