Board Minutes – Change of Registered Office from a Residential Address

These board minutes can be used as evidence of a company decision to change its registered office address from an individual’s usual residential address (URA) and, in doing so, to facilitate protection of that URA from public view at Companies House.

The Companies and Limited Liability Partnerships (Protection and Disclosure of Information and Consequential Amendments) Regulations 2024 took effect on 27 January 2025 and extend the ability for individuals to protect their URA where it has previously been used by a company as its registered office address (ROA).

What these board minutes do

• Record the board’s decision to change the company’s registered office address away from a URA.
• Record the company’s intention to support the relevant individual in protecting that URA on the public register (where eligible).

What the Regulations allow and do not allow

The Regulations expand the situations in which a person (usually a company officer, PSC, subscriber or member of a company) can apply to the registrar to have their URA protected so that it no longer appears on the public register.

They do not allow an individual to hide their URA from public view if it is the company’s current ROA.

Where an address is protected, Companies House will leave the “outward” code of a postcode (the first 3 or 4 characters) on the register, or where an address does not include an outward code, the geographical area equivalent will be shown.

These Regulations follow the Economic Crime & Corporate Transparency Act 2023, which reformed the role and powers of the registrar to include the prevention of abuse of personal information on the companies register.
