E-Commerce (Goods – B2B) Website Terms of Sale
These E-Commerce Sale of Goods Website Terms of Sale are
designed for use by online retailers on e-commerce websites providing goods
to business customers. These terms are sufficiently broad to cover
virtually any kind of goods sold on a single-transaction basis.
This document is designed for use alongside our E-Commerce Sale of Goods
website, while this Terms of Sale template covers the sale and purchase of
goods. It is important to ensure that both documents are used together.
This document has been updated, removing an optional provision allowing the
seller to restrict the sale of goods to UK customers only. This change has
been made to improve compatibility with the 2018 EU Geo-Blocking
Regulation, which takes effect on 3 December 2018.
It is important to note, however, that this document remains intended for
UK use. Specific laws that may apply in other EU member states are not
addressed and it is important to ensure that you are fully aware of, and in
compliance with, such laws if you specifically direct your activities
toward any particular member state.
Using user-friendly language, these e-commerce terms of sale guide
customers through the order process, explaining the formation of the
contract between them and the trader, also setting out details on goods,
pricing and availability (with particular regard for the accuracy of, and
changes to such information), payment, delivery, risk and ownership.
As this is a document designed for business-to-business transactions, no
“cooling off period” is provided (although one can be added if desired, on
a contractual basis rather than a statutory one, by using our
business-to-consumer terms for reference). Customers are optionally given
limited cancellation rights where delivery problems occur, as well as more
comprehensive rights with respect to faulty, damaged or incorrect goods.
Liability is also limited to a commercially fair degree.
Further key provisions deal with events beyond the retailer’s control,
customer complaints (with reference to complaints handling policies and
procedures, templates for which are also available from Simply-Docs),
contact information, and data protection.
Optional phrases / clauses are enclosed in square brackets. These should be
read carefully and selected so as to be compatible with one another. Unused
options should be removed from the document.
