CHF – LL PSC08 – Notification of PSC Statements for a LLP 
Under the Companies Act 2006, as amended by the Economic Crime and Corporate Transparency Act 2023, LLPs are required to identify the people with significant control over them (PSCs) and provide this information to Companies House where this information is publicly recorded.
This includes those who directly or indirectly hold rights over more than 25% of the surplus assets on a winding up of the LLP, those who directly or indirectly hold more than 25% of the voting rights of the LLP or those who directly or indirectly hold the right to appoint or remove the majority of those involved in the management of the LLP. LLPs are required to file this information with Companies House.
Companies House Form LL PSC08 should be used to give Companies House a PSC statement as to the status of its PSC register.
Note that the PSC register at Companies House cannot be left blank and there is a duty to keep information up to date.
The LLP must take reasonable steps to find out if there is anyone who is a registrable person or a registrable relevant legal entity (RLE), and if so, to identify them. Failure to comply with the regime and provide timely and accurate PSC information to Companies House, without a reasonable excuse, is a criminal offence by LLPs, their officers and those required to provide the relevant information, with those found guilty facing up to two years imprisonment and/or a fine.
The statement made relates to either the date:
• the LLP first knew or had cause to believe that there is no PSC
• the LLP first knew or had cause to believe that the person had become a PSC in relation to the LLP
• by which the person was required to comply with a section 790D, 790DA, 790E or 790EA notice
• of a restriction notice i.e. date on which a restrictions notice was given,
OR the circumstances, such as that:
• the LLP knows or has reasonable cause to believe that there is no registrable person or registrable relevant legal entity
• the LLP knows or has cause to believe that a person has become a PSC or RLE, but it has not yet had confirmation
• the LLP has given a notice under section 790D or 790DA of the Companies Act 2006 which has not been complied with
• the registrable PSC/RLE has failed to comply with a notice given by the LLP under section 790E or 790EA of the Companies Act 2006
• the LLP has issued a restrictions notice under paragraph 1 of Schedule 1B to the Companies Act 2006.
This form should NOT be used if an individual PSC is applying or has applied for protection from having their details disclosed on the public register.
