PSC and RLE Registers
Under the Companies Act 2006, as amended by the Small Business, Enterprise and Employment Act 2015, UK incorporated companies, UK LLPs and UK Societates Europaeae must collect and keep information about people with significant control over them in a statutory register, known as the Register of People with Significant Control (PSC register).
This collection contains template forms of the registers that companies must keep to record their PSCs and any registrable relevant legal entities (RLEs).
Even if a company has no interests to be registered (or is dormant), it must still keep a register. The register cannot simply be left blank. Criminal sanctions apply for non-compliance.
Only companies that are exempt do not need to keep a PSC register. The exemption broadly covers only those companies with shares listed on the Main Market of the London Stock Exchange. In practice, this regime affects almost all UK companies, and virtually all UK companies will need to keep a PSC register.
