PSC and RLE Registers

Under the Economic Crime and Corporate Transparency Act 2023 (ECCTA), the requirement for companies to maintain statutory registers (other than the register of members) is abolished with effect from 18 November 2025. This includes the register of PSCs.

What changes from 18 November 2025

The register at Companies House is now the sole, verified source of information regarding PSCs.

The ECCTA also creates stringent requirements for keeping Companies House updated on changes. Companies House must always have information about a company's PSCs, or an update on the status of a company's investigations to establish whether or not they have any. The PSC register cannot be left blank. Failure to comply with the regime and provide accurate PSC information to Companies House, without a reasonable excuse, is a criminal offence. Failure to comply (by companies, their officers and those required to provide the relevant information) is a criminal offence, with those found guilty facing up to two years imprisonment and/or a fine. 

Why keep an internal register of directors?
Although companies may dispense with their statutory register of PSCs, many may still choose to maintain an internal record for governance and practical reasons, at least for the time being.

An internal register may be helpful:

• as good housekeeping and governance, to keep an organised internal record of information previously kept in statutory registers;
• for due diligence when engaging with third parties (particularly investors and entities from abroad);
• when seeking a loan; and
• where the company is the target in an acquisition, including presenting historic and current information in a clear and orderly manner. 

What are these templates for?
These templates can be used by companies that wish to continue maintaining internal registers of PSCs and RLEs after 18 November 2025. They have been updated to reflect that they are now purely internal records.
