PSC and RLE Registers

Under the Economic Crime and Corporate Transparency Act 2023 (ECCTA), the requirement for companies to maintain statutory registers (other than the register of members) is abolished with effect from 18 November 2025. This includes the register of PSCs.

What changes from 18 November 2025

The register at Companies House is now the sole, verified source of information regarding PSCs.

The ECCTA also creates stringent requirements for keeping Companies House updated on changes. Companies House must always have information about a company's PSCs, or an update on the status of a company's investigations to establish whether or not they have any. The PSC register cannot be left blank. Failure to comply with the regime and provide accurate PSC information to Companies House, without a reasonable excuse, is a criminal offence. Failure to comply (by companies, their officers and those required to provide the relevant information) is a criminal offence, with those found guilty facing up to two years imprisonment and/or a fine. 

Why keep an internal register of directors?
Although companies may dispense with their statutory register of PSCs, many may still choose to maintain an internal record for governance and practical reasons, at least for the time being.

An internal register may be helpful:

  • as good housekeeping and governance, to keep an organised internal record of information previously kept in statutory registers;
  • for due diligence when engaging with third parties (particularly investors and entities from abroad);
  • when seeking a loan; and
  • where the company is the target in an acquisition, including presenting historic and current information in a clear and orderly manner.

These templates can be used by companies that wish to continue maintaining internal registers of PSCs and RLEs after 18 November 2025. They have been updated to reflect that they are now purely internal records.

Frequently Asked Questions

Do companies still have to keep a PSC register? +
No. From 18 November 2025 the requirement to maintain a statutory PSC register was abolished under the Economic Crime and Corporate Transparency Act 2023, along with the other local statutory registers apart from the register of members. The Companies House register is now the sole, verified source, and the legal duty is to keep it accurate through direct filings within 14 days of confirmed changes.
Why would we keep an internal PSC register anyway? +
As good housekeeping. An internal record keeps historic and current ownership information organised for due diligence with investors and overseas counterparties, for lenders' know your customer checks and for presenting a clean position if the company is an acquisition target. The templates in this section are drafted as purely internal records for exactly this use, mirroring what must be filed at Companies House.
What is a relevant legal entity, and when do we record one instead of a person? +
A relevant legal entity, or RLE, is a body that meets a PSC condition over your company and is itself subject to its own disclosure requirements, such as a UK company that must report its own PSCs. Where an RLE is registrable you record the RLE rather than tracing through to individuals behind it. This section includes separate internal register templates for PSCs and for RLEs.
Should we destroy our old statutory registers now they are abolished? +
No. Keep them. The abolition removes the duty to maintain the registers going forward; it does not erase their value as historic evidence of ownership and control, which due diligence, disputes and tax enquiries still reach back to. The updated templates in this section let you carry the same information forward as an internal record clearly labelled as non-statutory.
