Appointment of Directors (IDV compliant)

Mandatory identity verification (IDV) requirements set out in the Economic Crime & Corporate Transparency Act 2023 (ECCTA) go live later this year.  This is a new requirement that companies and individual directors must adhere to when appointing a director. Directors must have their identity verified before they can be appointed and there will be potential civil and criminal penalties for failure to do so. The voluntary period for IDV opened on 8th April 2025. IDV applies to all directors, irrespective of their nationality or where they are resident.

The templates below set out the process to appoint a director but also include appropriate IDV wording. As the mandatory requirement is not expected to be in force until Autumn 2025, these templates should be used by those companies that wish to take advantage of voluntary IDV in the process of appointing their new directors now. Companies are encouraged to IDV their directors as soon as possible, particularly if their confirmation statement is due to be filed in Autumn 2025, as existing companies will need to confirm completion of all IDV requirements as part of their next confirmation statement. Early IDV will ensure such statements can be filed on time.
