Merchandise Agency Agreement

This Merchandise Agency Agreement provides the Agent with the exclusive right during the term of the agreement to solicit agreements granting licences to parties with suitable expertise and standing to use the Property and all trade marks, trade names, service marks, copyrights and other rights and/or material owned by the Company, (or any part or any combination thereof) in connection with the manufacture, distribution, sale, advertising and promotion throughout the agreed territory.

The data protection provisions in this document have been updated with reference to the UK GDPR.

Potential Licensees are referred by the Agent to the Company and the Company then enters into a merchandise licence agreement with the licensee. The Agent receives from the Company, as the Agent's commission for soliciting the licensee and for supervising the licence agreement, a percentage of the licence/royalty fees that the licensee pays to the Company. 

This template is only suitable for use where both parties are based and operate in the UK, and licences are to be granted only to entities in the UK where licences extend only to merchandising or other activities in the UK.
