The accompanying  Franchise Agreement refers to a Manual which is to form part of the agreement governing the franchise arrangements between the parties.

A “Manual” is basically a rule book the purpose of which is to provide all of the necessary details required for the successful day-to-day running of the Franchised Business. The Manual should elaborate on matters mentioned in the Franchise Agreement such as minimum standards, operational matters, insurance requirements and other issues. The Manual should also cover all other matters that need to be agreed to ensure that the arrangements are complete and unambiguous.

Whilst this template Franchise Agreement Manual is only a skeleton document, you might find it helpful to use it as a checklist and as a starting point when creating your own Manual. It contains a number of headings and prompts, some of which directly track points dealt with in the accompanying Franchise Agreement, and it is designed to be used in conjunction with that form of Agreement.

Before you begin to compile your Manual, you might also find it helpful to consider, as examples, some manuals of other franchisors engaged in businesses similar to your Franchised Business. This might help you to check for matters that ought to be included in your Manual.

The content that ought to be included in your Manual will depend on a number of factors, including your particular type of business, and your specific requirements and circumstances. It should be a detailed document, and you should prepare it carefully to ensure that it – together with the Franchise Agreement - covers all relevant aspects of the intended franchise arrangements. You will therefore need to amend, add and delete material from it as necessary to meet your needs.
