This Letter of Resignation – Secretary records a company secretary’s resignation and confirms that the secretary has no claim for compensation for loss of office against the company (and, if applicable, any of its subsidiaries).

It should be executed as a deed.

When should you use this letter?

  • When a company secretary is resigning and you want a formal resignation letter to keep with the company’s records.
  • Where the company wants the secretary to confirm that no claim for compensation for loss of office will be made against the company or any of its subsidiaries (if applicable).

Articles and other documentation

When a company secretary is resigning, the company’s articles of association should be checked to ensure they do not require a different method of resignation.

Where a settlement has been agreed for loss of office, this should be properly documented in a settlement agreement.

Key filing point

A notice of resignation must be given to the registrar at Companies House within 14 days on form TM02. This is particularly important as the register of secretaries has been abolished and this information must be filed directly with Companies House (section 279G(b) Companies Act 2006).
