Confirmation from Director/PSC for Co Sec to File on Their Behalf at Companies House

This template acknowledgement form is for use by each director and PSC in response to the company’s request for authority to file at Companies House.

It is intended to confirm whether the individual authorises the company secretary to file on their behalf.

ECCTA 2023 and filing on behalf of others

Part of the rationale behind the Economic Crime & Corporate Transparency Act 2023 (ECCTA) is to ensure that the register at Companies House contains accurate information and is updated in a timely manner. The ECCTA is introducing new rules for those filing on behalf of someone else at Companies House.

From Spring 2026, an individual may only deliver a document on behalf of another firm or individual if the individual delivering it is ID verified (unless the individual is either an Authorised Corporate Service Provider (ACSP) or an employee of an ACSP) and is not a disqualified person or filing on behalf of a disqualified person. This may impact a company secretary’s ability to file on a company’s behalf or on behalf of the company’s directors and PSCs.

The ECCTA gives Companies House new and enhanced powers to help disrupt economic crime and the ID verification regime is a key component of this. From Spring 2026, any company secretary wishing to file at Companies House will need to identity verify.

In addition, with the abolition of certain statutory registers, there will be more filings that must be made directly with Companies House, usually within 14 days. Failure to do so is a breach that may attract serious consequences.

What this form is used for

  • Each director and PSC can confirm whether they authorise the company secretary to file at Companies House on their behalf.
  • The company can retain a clear record of authority (or refusal) for filings made on behalf of directors and PSCs.

If authority is not given

This form must be adjusted depending on whether the individual is giving the company secretary the necessary authority or not.

Where authority is not given, the form sets out the consequences for both the company and the individual concerned of failing to file all required documents with Companies House within the necessary timescales.
