Consent to Act (Confirmation from Company Secretary)

This template letter provides written confirmation from a proposed company secretary that they consent to act as company secretary.

It is intended to support the company’s filing obligations where the appointment is made other than on incorporation.

Why you may need written consent

In accordance with section 279G(3)(b) of the Companies Act 2006, the notice a company gives to the Registrar at Companies House appointing a company secretary (other than on incorporation) must include a statement by the company that the person appointed has consented to act. This is done by ticking the relevant box on form AP03 or AP04.

Although the statutory statement is made on the Companies House form, a company may wish to retain formal written consent from the proposed secretary to support that statement.

  • The proposed secretary’s consent to act as company secretary.
  • Confirmation that the secretary is a “fit & proper” person to act.

ECCTA 2023 context

A company secretary is not required to make any confirmation as to their status. However, in light of the Economic Crime & Corporate Transparency Act 2023 and the enhanced powers given to Companies House, ensuring that company officers are “fit & proper” and have consented to act is now more important than ever.

Identity verification

From Spring 2026, to file at Companies House on behalf of an entity or another individual, company secretaries will need to be ID verified.
