These Website Terms of Sale - Veterinary Services (B2C) are designed for a veterinary surgeon, nurse or other veterinary practitioner (“vet”) to provide one or more consultations to a customer about any animal for which the customer has responsibility.
This document also allows for other two way services to be provided to a customer, for example, a live online “interest group” session hosted by a vet for customers who own the same type or breed of animal. In such sessions, the vet can provide guidance about health and welfare of that type or breed, and customers can discuss queries, tips etc. There is also provision in the document for making available one way recorded sessions, e.g. information or advice videos which can be viewed by the customer, and for downloading of other materials and access to other services.
The advice and information available under the terms and conditions of this document is through provision of both online video streamed sessions which are live (one way or two way) or recorded (one way) and downloadable background and other materials. All of these sessions and materials are made available in return for a single Subscription payment.
There is an attachment to the main body of the terms and conditions which sets out the detail of what is actually provided or made available by the vet. This attachment can be adapted as necessary by each vet’s practice.
This template provides for that, for video streaming, the vet and the customer will use a cloud-based web conferencing platform (such as Zoom). Most of the provisions specifically relating to the use of such a platform are in the attachment. If a platform other than Zoom is to be used, the attachment can easily be adapted as necessary.
The vet may be a self-employed individual (sole trader), in which case he/she will contract personally on these terms and conditions with the customer. However, where the vet practice is a company or partnership which engages one or more vets to provide the online service, it will contract with the customer. In each case the customer will be contracting as a consumer, not as a business customer.
This document provides for the Subscription to cover single or multiple video sessions and the accompanying downloadable background and other text/graphics/images.
Each video streamed session may be in any of the following formats:
(a) Live private one-to-one consultation video session with a vet which only one customer can access. It is “two way” so that the vet and customer can see, hear and talk to each other (and the customer’s animal can be seen by the vet);
(b) Pre-recorded information (e.g. video) session capable of being accessed at any time/s by one or more customers. Its nature is such that it is a “one way” event with no communication between customer and vet. This allows a customer to access on demand the particular information provided by the vet whenever it is convenient to him/her;
(c) Live “one way” video session (e.g. for a vet to provide information to customers) where no customer can communicate with the vet or any other customer. This can be accessed by one or more customers at the same time. If the live session is also recorded by the vet, it can then also be made accessible for customers as a session as outlined at “(b) above;
(d) Live group video session where a number of customers access it at the same time and it is “two way” so that customers can, in real time, see, hear, and be seen and heard by the vet, and, if the vet permits, each other. (The vet will probably need to limit the customers who can have access on each occasion to a number which is manageable if the vet expects to have substantial interaction with customers during such a group session).
These Terms of Sale anticipate that everything that the vet sells on these terms via its website will be online only. No tangible items such as books (or other materials) in paper form, CDs, or DVDs will be supplied on these terms. This document is only suitable for online consultations. Under these Terms of Sale, the customer has to set up an Account. They can do so without charge and without committing to purchase any content. They can then purchase a Subscription comprising any online video session/s and other materials offered on your website.
Each Subscription provides access to a particular consultation or other session on a specific date (if live) or during a stated period (if pre-recorded) as well as to the background and other materials. The sessions, dates and periods in each case should be defined on your website in an appropriate place and confirmed in the client’s order details.
These Terms of Sale guide the customer through the order process, explaining the formation of the contract between you and them for the Subscription, also setting out details about the content and its availability and provision, pricing, payment and licensing.
Particular attention should be given to descriptions when selling content. This should be reflected in the definition of “Paid Content” and elsewhere in these terms and also in the information available on the website or given to a customer before they sign up for a Subscription.
Cancellation rights are addressed in detail in the terms, including the 14-day cooling off period granted to consumers under the 2013 Consumer Contracts Regulations.
