Guidance Note - PSC regime
Since 6th April 2016, UK incorporated companies and UK LLPs (amongst other entities) have had to collect and keep information about people with significant control (PSC) over them. This used to be kept in a statutory register by the individual entity itself, however from 18th November 2025, this requirement has been abolished. Companies House now holds a PSC register for each entity with strict reporting requirements.
This guidance note provides a broad overview of the key points of the regime for directors and secretaries of SME companies.
This guidance includes the changes introduced by the Economic Crime and Corporate Transparency Act 2023, notably abolishing the statutory PSC register and requiring PSCs to verify their identity.
This guidance is designed to complement rather than replace the Government’s guidance. The Government’s guidance is freely available at www.gov.uk and is extremely comprehensive. Companies with complex structures may also need to consider seeking independent legal advice.
