Consent to Act (Confirmation from Company Secretary)

In accordance with section 279G(3)(b) of the Companies Act 2006, the notice that a company gives to the Registrar at Companies House appointing a company secretary (other than on incorporation), must include a statement by the company that the person appointed has consented to act. This involves ticking the relevant box on Form AP03 or AP04 to confirm this.

To make this statement, the company may wish to have formal, written consent from the proposed secretary of their consent to act. This template letter may be used for this purpose. The letter also confirms that the secretary is a “fit & proper” person to act. A company secretary is not required to make any confirmation as to their status but considering the implementation of the Economic Crime & Corporate Transparency Act 2023, and the new and enhanced powers that have been given to Companies House, ensuring that company officers are “fit & proper” and have consented to act is now more important than ever. 

Note that from Spring 2026; to file at Companies House on behalf of an entity or another individual, company secretaries will need to be ID verified.

If it is required, then the brackets should be deleted and the wording within them retained. If the wording is not required, then it can be deleted.
