CHF - LL PSC01 – Notice of Individual Person with Significant Control (LLP)

Under the Companies Act 2006, as amended by the Economic Crime and Corporate Transparency Act 2023, LLPs are required to identify the people with significant control over them (PSCs) and provide this information to Companies House, where it is publicly recorded. This includes anyone who directly or indirectly holds rights over more than 25% of the surplus assets on a winding up of the LLP, more than 25% of the voting rights of the LLP, or the right to appoint or remove the majority of those involved in managing the LLP. LLPs are required to file this information with Companies House.

Companies House Form LL PSC01 should be used to notify Companies House of such an individual person with significant control.

The PSC register at Companies House cannot be left blank. Failure to comply with the regime and provide timely and accurate PSC information to Companies House, without a reasonable excuse, is a criminal offence by LLPs, their officers and those required to provide the relevant information, with those found guilty facing up to two years' imprisonment and/or a fine.

This Companies House form also requires confirmation that the individual PSC has completed identity verification.

This form should not be used if an individual PSC is applying, or has applied, for protection from having their details disclosed on the public register.
