Notice to Companies House Regarding Election to Keep Register of Secretaries at Companies House
From 30th June 2016, private companies have the option to stop maintaining in part their own set of company books and instead elect to keep their statutory registers at Companies House. In order to do this a company must give notice of the election to the registrar at Companies House.
For subscribers wishing to form a private company this notification will be as part of the incorporation process but for private companies already in existence, this Notice to Companies House Regarding Election to Keep Register of Secretaries at Companies House may be used.
This notice to Companies House (in accordance with section 279A of the Companies Act 2006) confirms to the registrar that the company has elected to keep its register of secretaries on the central register at Companies House. Private companies are not required to have a secretary, so this option will only apply to those private companies that have a secretary.
Whilst the election is in force, the company must notify the registrar of any changes to the register and deliver to the registrar such information as soon as reasonably practicable and in any event no later than the time by which the company would have been required under section 276 of the Companies Act 2006 to give notice of the information.
