Notice to Companies House Regarding Election to Keep Register of Members at Companies House
From 30th June 2016, private companies have the option to stop maintaining in part their own set of company books and instead elect to keep their statutory registers at Companies House. In order to do this a company must give notice of the election to the registrar at Companies House.
For subscribers wishing to form a private company this notification will be as part of the incorporation process but for private companies already in existence, this template form of notification may be used.
This notice to Companies House (in accordance with section 128B of the Companies Act 2006 regarding the register of members) confirms that:
• all members of the company have assented to the making of the election; and
• all the information that is required to be contained in the company’s register of members is included with the notice and is current.
The company must update and notify the registrar of any changes to the register of members as and when they occur as well as place a notice in its historic register stating that an election under section 128B is in force, recording when the election took place and indicating that up to date information about its members is available for public inspection on the central register.
