Deed of Gift of Goods to a Charity

CO.CHA.216

This Deed of Gift of Goods to a Charity records an outright gift of existing goods by a company to a charitable company or a charitable incorporated organisation (CIO), both in England and Wales. Because it is made as a deed, the company's promise to give the goods is binding even though the charity pays nothing for them.

The deed covers:

  • the gift, for the charity's general charitable purposes, with no contractual right for the donor to reclaim the goods and no benefit owed to the donor in return;
  • delivery or collection, and when ownership and risk pass to the charity;
  • the donor's assurances that it owns the goods and has disclosed the defects, recalls and restrictions it knows of;
  • the condition of the goods, and the charity's limited right to refuse an item before handover;
  • costs, VAT and liability;
  • when the deed takes effect, and signing by the donor company and by a charitable company or a CIO with at least two individual trustees.

A Schedule records the goods and the handover arrangements. Completion notes explain when to use the deed, the approvals to obtain, the VAT points to check and how to sign and date it.

The deed is not for gifts of money, land, shares or services, for restricted gifts or sponsorship, or for gifts to unincorporated charities.

Deed of Gift of Goods to a Charity is part of Charity. Just £42.50 + VAT provides unlimited downloads from Charity for 1 year.
