Register of Directors (Trustees) for Company Limited by Guarantee (Charity)

All companies, including charitable companies limited by guarantee, are required to keep a register of directors at their registered office. (The directors will also be the trustees of the charity in the case of a charity set up in the form of a company limited by guarantee). 

This Register of Directors (Trustees) for Company Limited by Guarantee (Charity) template takes account of the Companies Act requirement for companies to provide a service address for a director rather than the director’s usual residential address. A service address means an address at which documents may be effectively served on the director. A director may give the company’s registered office as his or her service address. The service address may also be the same as the director’s residential address but this will not be apparent from the public record.

The register must be kept available for inspection at the company’s registered office by members (free of charge) or the public (for a prescribed fee). Refusal to permit inspection is an offence for which every company officer in default (including a shadow director) can be liable. In addition, the court may compel immediate inspection of the register if the company has refused.

If you are using Microsoft Office 2003 or older, the template can be unlocked by clicking on the “Padlock” icon on the tool bar. To display the “Padlock” icon click on “View” and then “Toolbars”. From the “Toolbars” menu, select “Forms”.

Users of Microsoft Office 2007 must first click on the “Review” tab to reveal the “Protect Document” button. From the “Permissions” panel that opens, click on the “Stop Protection” button.

Once you have subscribed to the Corporate Document Folder click on the “Download Document” button below. You will be asked what you want to do with the file. It is recommended that you save the document to a location of your choice prior to viewing.
