Register of Trustees for a CIO

This Register of Trustees for a CIO is designed for use by a charity formed as a CIO. It can be used for trustees of all CIOs, whether the CIO has few or many trustees in office. It can be used whether the CIO has (a) members other than its trustees (‘Association Model’); or (b) no members other than its trustees (‘Foundation Model’).

The Regulations governing CIOs require both Association Model and Foundation Model CIOs to keep a register of trustees in the manner required by the Regulations. This template complies with the Regulations.

This document assumes that none of the trustees are corporate bodies, and that no trustee has been appointed by the Charity Commission as an “interim manager” of the CIO under Section 76 of the Charities Act 2011. (An interim manager can be appointed by the Commission on suspension of a trustee by it.)

The Regulations require a Foundation Model CIO to keep a Register of its trustees, but the Regulations do not also require a Register of members to be kept for those trustees in their capacity as members. However, where the CIO is an Association model, the CIO has to keep a Register of Members as well – it must include details of all members including the trustees in their capacity as members.

Any person has an entitlement under the Regulations to inspect, or be provided with, a copy of the Register of Trustees for a CIO.

The Regulations require that the details contained in the Register have to be kept for 10 years after a trustee ceases to be in office.
