Members’ Accompanying Statement to Written Resolution

Use this Members’ Accompanying Statement to Written Resolution where members are proposing a written resolution and wish the company to circulate an accompanying statement on the subject matter of the resolution.

When members can require circulation of a statement (section 292 Companies Act 2006)

A written resolution may be proposed by either the directors or the members. In practice, written resolutions are usually proposed by the directors, but this template is intended for use where members are proposing a written resolution (typically where the directors will not propose the resolution and the members wish to proceed regardless).

If members propose a written resolution in accordance with section 292 of the Companies Act 2006, they may require the company to circulate an accompanying statement of up to 1,000 words on the subject matter of the resolution.

Circulate the statement with the proposed resolution

This is a template form of statement that can be circulated with the proposed written resolution or resolutions.

Court application where rights are alleged to be abused

A company (or another person who claims to be aggrieved) may apply to the court on the basis that the rights conferred on members to propose a written resolution are being abused by this process.
