Management Services Agreement
This Management Services Agreement can be used where a company wishes to engage a manager to provide certain management and support services to the company.
The agreement provides for a contractor, with the relevant expertise, to provide the services as agreed between the company and the manager.
Contractor company appointment (not an employment relationship)
The agreement has been drafted such that the manager is a contractor company, rather than an individual.
It is not intended to create any employment relationship between the manager’s staff and the company and has been specifically drafted so as to avoid this.
Scope of services covered
The range of responsibilities and duties that the contractor will take on will depend on the size of the company.
The agreement includes provisions to cover administrative and secretarial services, bank account and treasury services, financing, insurance and the negotiation, conclusion and performance of contracts.
Directors’ responsibilities and shadow director position
This Management Services Agreement is not intended to take fiduciary responsibility away from the directors and it is also not intended that the manager act as a shadow director.
However the manager has certain administrative and advisory functions delegated to him to carry out on behalf of the directors that the company does not have the resources or capacity to carry out itself.
