This Ordinary Resolution In Writing Of CIO Members provides a template which can be used when an Ordinary Resolution is to be passed by the members of a CIO using a written resolution procedure.
Use of a written resolution procedure obviates the need to pass that resolution instead at a meeting of the members. Whilst some members might prefer there to be a meeting - since it would provide a forum for debate - use of a facility to pass written resolutions can be administratively preferable for a CIO’s trustees in that it avoids the rigmarole of calling a meeting.
