PSC Register (Individuals)

This PSC Register (Individual PSCs) is a form of the register of people with significant control that, from 6th April 2016, all companies, Societates Europaeae and Limited Liability Partnerships must keep of individuals that have control over them. This template register is for use by UK companies. All UK companies must keep a register even if the company is dormant or it has no interests to be registered.

This template includes the “required particulars” for an individual as set out in section 790K of the Companies Act 2006, namely:

• PSC’s name;
• Service address;
• Place of residence;
• Nationality;
• Date of birth;
• Usual residential address;
• Date on which person became registrable;
• Nature of control; and
• Details of any restrictions.

Note that all information on the PSC register must be confirmed information and that not all the information on the PSC register will be publicly available, for example the day of birth will not be publicly available unless the company elects to keep its register solely at Companies House. There is also a protection regime in force, enabling some or all of the information on the PSC register to be publicly withheld where it can be demonstrated that disclosure would put the relevant person at serious risk of violence or intimidation. The register must also include the nature of control held by the PSC (within defined bands) and prescribed wording to reflect the progress a company is making in identifying its PSCs. The prescribed wording reflects the company’s progress in identifying its PSCs at any given time and may need updating frequently or infrequently depending on how often PSC details change. Some prescribed wording is set out at the end of this template register for you but is also set out in full and freely available on www.gov.uk. The prescribed wording as set out by the Government must be used.

This template register should be filled in by a company director, secretary or administrator to ensure that the company is compliant.
