PSC Register (Relevant Legal Entities) (internal use only)

CO.PSC.16

Under the Economic Crime and Corporate Transparency Act 2023 (ECCTA), the requirement for companies to maintain statutory registers (other than the register of members) is abolished with effect from 18 November 2025. This includes the register of PSCs. This template is therefore an internal register only that companies may choose to keep of their relevant legal entities (RLEs).

This template includes the “required particulars” for a RLE as set out in section 790K of the Companies Act 2006.

Note that the PSC register at Companies House cannot be left blank. Failure to comply with the regime and provide accurate PSC information to Companies House, without a reasonable excuse, is a criminal offence. Failure to comply (by companies, their officers and those required to provide the relevant information) is a criminal offence, with those found guilty facing up to two years imprisonment and/or a fine.

Although companies may dispense with their statutory register of PSCs, many may still choose to maintain an internal record for governance and practical reasons, at least for the time being. This template should be used for this purpose.

This document is in open format. The requisite details should be inserted into the highlighted fields or the wording can be adjusted to suit your purposes. Wording in square brackets is optional.
