Copyright Licence

This Copyright Licence is designed for use where one party owns copyright in one or more works and another party wants to use those works in its own project under licence.

Copyright can be assigned outright or licensed on agreed terms. This template is suitable for most types of copyright work, including artistic, literary and musical works.

Licensing copyright for a defined project

The licensee’s project should be clearly described so that both parties understand how the licensed rights and copyright works may be used.

Clear project boundaries are important. Without them, it may be difficult to determine what the licensee can and cannot do with the licensor’s works.

When this copyright licence is not suitable

This licence is not intended for complex projects where the licensee will be subcontracting manufacture or production, or licensing derivative products.

It is designed only to allow the licensee to use the works and licensed rights in its own project or product.

Royalties, advance payments and key protections

Payment is mainly by royalties, with provision for an advance that is offset against future royalties.

For example, if the royalty rate is 5% and a £5,000 advance is paid, no further payment would be due until sales reached £100,000. After that point, normal royalty payments would begin.

The licence also covers:

• licensor’s warranties;
• indemnities;
• legal proceedings relating to the works and licensed rights; and
• confidentiality.

Related copyright royalty agreement

The terms of this licence are substantially the same as those in the Copyright Royalty Agreement. Users of either document do not need to download the other.
