CHF - PSC09 – Give Notice of Update to PSC Statements

Under the Companies Act 2006, as amended by the Economic Crime and Corporate Transparency Act 2023, most UK companies (and LLPs) are required to identify the people with significant control over them (PSCs) and provide this information to Companies House where this information is publicly recorded. This includes those who own or control (directly or indirectly) more than 25% of the entity. Companies (and LLPs) are required to file this information with Companies House.

Companies House Form PSC09 should be used to give notice to Companies House about an update to a PSC statement (that has been made on PSC08).

Note that the PSC register at Companies House cannot be left blank and there is a duty to keep information up to date. The company must take reasonable steps to find out if there is anyone who is a registrable person or a registrable relevant legal entity (RLE), and if so, to identify them with any updated information provided to Companies House. Failure to comply with the regime and provide timely and accurate PSC information to Companies House, without a reasonable excuse, is a criminal offence. Failure to comply (by companies, their officers and those required to provide the relevant information) is a criminal offence, with those found guilty facing up to two years imprisonment and/or a fine.

This form should not be used if an individual PSC is applying or has applied for protection from having their details disclosed on the public register.
