Web App Terms and Conditions (Subscription Web Apps)
If you wish to use this document in a scenario that involves personal data, you may wish to amend it. To assist in such alterations, standard clauses for data protection and data processing are available in our UK GDPR & Data Protection Group. As with any alterations to documents, great care should be taken.
Once the sole domain of software, the desktop is rapidly losing ground to the browser as web-based applications or “web apps” continue to gain popularity. Being accessible from anywhere that has an internet connection, and on a wide range of different devices and platforms, web apps offer a number of advantages over and above software installed on an individual device.
These Web App Terms and Conditions have been designed for use with premium web apps requiring users to purchase a subscription in order to use them. The terms are open and unrestrictive, allowing this template to be used with a broad variety of different types of web application.
Drafted in much the same way as website terms and conditions, the provisions of this template establish the relationship between the operator of a web app and their customers, governing users’ conduct and use of the service and addressing key areas such as intellectual property rights (and, most importantly, the retention by users of the IP rights in their user content), acceptable usage, legal rights, liability, privacy and data protection.
Key terms over and above the version of this document designed for free web apps address subscriptions, the formation of contracts (an important element to set out when dealing with consumers), cancellation rights (including an explanation of the 14 day cooling off period and why it does not apply due to the web app being made available immediately), and consumers’ legal rights with particular regard to digital content and services.
A user-friendly approach has been taken to the language of this template, aimed at making it understandable and accessible to consumers. It can also be used with business users, however, and where different provisions apply to business users and consumer users, this is made clear in the text.
An alternative version of these terms and conditions designed for use with free web apps is also available and can be accessed here.
Optional phrases / clauses are enclosed in square brackets. These should be read carefully and selected so as to be compatible with one another. Unused options should be removed from the document.
