These E-Commerce Sale of Digital Content Website Terms of Sale are designed for online retailers selling digital content to consumers through an e-commerce website.

They are drafted for subscription-based access to a wide range of digital content and can be adapted with only minor changes for renewing or non-renewing subscriptions. This template is intended to be used with the counterpart Digital Content Terms of Use (B2C), which governs use of the website itself.

Please Note: This template, together with the counterpart terms of use, replaces the previous TR.WEB.TC.06 and TR.WEB.TC.07 templates, formerly known as ‘Information Provider’ terms and conditions. Now referring to ‘digital content’, these terms remain applicable to websites providing information but can now also be applied to a broad range of other digital content.

Use these terms to sell subscription-based digital content to consumers

These Terms of Sale guide customers through the order process and explain how the contract is formed. They also cover digital content, pricing and availability, payment, provision of the content, and the licence granted to the customer.

Particular care should be taken with content descriptions. Digital content must continue to match the description given to customers, so any updates, improvements, feature removals, or restrictions should be approached carefully.

Subscription structure and consumer cancellation rights

The template leaves the length of subscriptions open, so this should be made clear elsewhere on the website and confirmed in the customer’s order details.

Cancellation rights are covered in detail. These include ordinary no-fault cancellation of recurring subscriptions as well as cancellation rights arising where there are problems with the digital content that may entitle the customer to a full or partial refund.

The terms also address the 14-day cooling-off period under the Consumer Contracts Regulations 2013, but explain that this right will end once the customer accesses the digital content. As reflected in the template, the customer should acknowledge this during the order process.
